These Terms and Conditions ("Terms") constitute a legally binding agreement between you and NeuraVid ("we," "us," or "our") governing your access to and use of the NeuraVid platform, website, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Licensing Information
NeuraVid grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes, subject to these Terms. This license does not include:
- The right to modify, adapt, or hack the Service
- The right to resell, redistribute, or sublicense the Service
- The right to access the Service through automated means (except through our API)
- The right to remove any copyright, trademark, or other proprietary notices
2. Copyright Protection
All content, features, and functionality on the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and code, are owned by NeuraVid, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or otherwise exploit any of the material on our Service, except as follows:
- Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials
- You may store files that are automatically cached by your web browser for display enhancement purposes
- You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution
3. User-Generated Content
Our Service allows you to upload, store, and process video content, as well as create and share related analyses and insights ("User Content"). You retain full ownership of your User Content. We do not watch, review, modify, or use your uploaded content except for automated processing required to provide the Service's functionality.
The automated processing of your content is solely for the purpose of providing the Service features you explicitly request, such as transcription, analysis, or search capabilities. Your content is processed by our automated systems and is not manually reviewed by our staff except in specific cases of reported violations.
You are solely responsible for your User Content and represent that you have all necessary rights to upload such content. You agree not to upload or share User Content that:
- Is illegal or promotes illegal activities
- Contains adult content, pornography, or sexually explicit material
- Depicts violence, gore, or graphic content
- Is harmful, threatening, abusive, harassing, defamatory, or hate speech
- Infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party
- Contains software viruses or any other computer code designed to damage our systems
- Violates the privacy rights of any third party
- Impersonates any person or entity
We reserve the right, but not the obligation, to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise unacceptable. Content that violates our prohibited content policies may be removed without notice.
4. Allowed and Prohibited Uses
Allowed Uses:
- Using the Service to analyze and extract insights from your own or properly licensed video content
- Integrating the Service with your own systems through our documented APIs
- Sharing access to your account with your employees or contractors, provided they also comply with these Terms
- Using the Service for your legitimate business or personal purposes
Prohibited Uses:
- Using the Service for any illegal purpose or in violation of any local, state, national, or international law
- Attempting to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service
- Using the Service to store or transmit harmful code, including viruses, worms, or malware
- Interfering with or disrupting the integrity or performance of the Service
- Attempting to probe, scan, or test the vulnerability of the Service or any network connected to the Service
- Using the Service to create products or services that compete with NeuraVid
- Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the Service
- Using data mining, robots, or similar data gathering and extraction methods in connection with the Service
5. Termination of Accounts
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
We reserve the right to terminate or modify the Service, or any part of it, temporarily or permanently, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
6. Limitation of Liability
To the maximum extent permitted by law, in no event shall NeuraVid, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, including direct, indirect, special, incidental, punitive, or consequential damages, arising out of or in connection with your use of, or inability to use, the Service.
This includes any damages arising from errors, omissions, interruptions, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of God, communications failure, theft, destruction, or unauthorized access to our records, programs, or services.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law.
7. Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall first be addressed by contacting us directly to seek an informal resolution. If a dispute cannot be resolved informally, then:
- The parties agree to first attempt to resolve the dispute through mediation conducted by a mutually agreed upon mediator
- If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association
- The arbitration shall be conducted in [Your Jurisdiction], and the judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof
- Any arbitration shall be conducted on an individual basis and not in a class, consolidated, or representative action
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending the completion of arbitration.
8. Privacy Policy
Our Privacy Policy describes how we collect, use, and protect your personal information. By using the Service, you acknowledge that you have read and understand our Privacy Policy and consent to the collection, use, and disclosure of your personal information as described therein.
9. Links to Other Websites
The Service may contain links to third-party websites or services that are not owned or controlled by NeuraVid. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that NeuraVid shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Your use of the Service may also be subject to other local, state, national, or international laws.
Any legal action or proceeding relating to your access to or use of the Service shall be instituted in federal or state courts located in San Francisco, California, and you agree to submit to the personal jurisdiction of such courts.
11. Changes to Terms
We may revise these Terms at any time without notice. By using the Service, you agree to be bound by the current version of these Terms. It is your responsibility to check these Terms periodically for changes.
Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
